#TSE self-sabotage: When I proposed the CGC in a speech to the LDP in 2/2014, my main message was, "you need a CGC in order to require disclosure so asset managers can compare governance practices and policies between firms. Otherwise the Stewardship Code will not be effective, because there won't be enough data to BE a good steward."However, what has most held back vision was that the #TSE then took almost all of the new "disclosures", and (at the request of industry?) crammed 11 + disclosure items regarding different CG policies/practices within a single XBRL tag.You can find the presentation and all my memos to parliamentarians and the FSA before and after that, in a link within this post:https://lnkd.in/gr8zaVeU (English)https://lnkd.in/dBY4HBVT (Japanese)As you can see the concept of using big data to analyze and compare company practices has for 10 years, was very close to my heart, and indeed, was my original vision and the starting point for the CGC.BUT the #TSE took almost all of the new "disclosures", and (at the request of industry?) crammed 11 + disclosure items regarding different CG policies/practices within a single XBRL tag.This is a totally backwards way to XBRL tagging.It made he new CG Report info far LESS machine-readable that if they had done the obvious thing and assigned (in the taxonomy) a single tag for each of the 11 items, ... which would be the normal way to do things.It was obviously done to obfuscate the data and render it un-analyzable.Ever since, I have been complaining ever since ( to FSA, METI, even the PM), but the #TSE listing dept. clearly promised someone to do it this way, probably because few companies had good policies in 2015 and would have been embarrassed. That is no longer the case, and disclosure would accelerate the formation of good, written-down (=actual) policies, but for some reason, this remains a political logjam within the TSE.Go figure.Right now, everyone is excited about generative AI.But LLMs are not true AI in a sense because they cannot hypothesize and use logic. They can only extrapolate what is statistically most likely based on a lot of past data. So you cannot use an LLM to collect and normalize Yuho or CG Report data at a detailed, dependable level usable for analysis. There is simply far too much variation in presentation and table formats, etc.After a while, more people will realize that at the end of the day you need hard data, collected by refined algorithms, and dependably normalized.Then there will be more demand for data like that created by 公益社団法人 会社役員育成機構 The Board Director Training Institute of Japan ( BDTI ) .

    TSEの開示枠組みの大きな穴三つ:(1) 企業が提出するガバナンス報告書の11+の「開示項目」をそれぞれ細分化された機械可読XBRLタクソノミーになっていない (2)取締役や幹部による自社株の取引を適時開示の対象にしない (3)金融庁は実質株主を発行体企業には透明化するとの発表があったが、それ以外の者に(例えば一般投資家には)透明化するつもりはないようである。#corpgov #esg #japan #equitymarkets

    " In Livedoor’s (post-scandal) case, before I joined the board it seemed clear to me that eventually, the company would most likely have to be liquidated.It had acquired a lot of companies in addition to operating its portal web site, but there were no synergies between them, and there was very little oversight of subsidiaries. It had no strategy, and its brand name had been destroyed. If anything, being affiliated with the Livedoor name actually reduced the value of its businesses and subsidiaries to some extent, in terms of their ability to get business....
